Who we are
The Hills Basketball Association (HBA) is a not-for-profit sporting organisation based in the Hills District in Sydney’s north-west. See https://hillshornets.com.au/ for more information.
Established in 1984, HBA has grown to become the largest and most professional basketball association in New South Wales. With a history of building and rejuvenating venues, the Association operates nine courts across three venues.
HBA is affiliated with NSW Basketball and Basketball Australia, participating in many pathways across juniors and seniors, from local competition to elite basketball, including wheelchair teams and walking basketball for seniors.
HBA operates as a company limited by guarantee under the Corporations Act 2001 (Cth).
The role
HBA is seeking the services of an experienced Company Secretary to work with the HBA board on a regular basis to manage board meetings and related activities. The initial appointment is for a 12-month period.
This is a volunteer position that receives an honorarium.
The HBA Board meets on the fourth Thursday evening of each month at the Hills Basketball Association (Fred Caterson Reserve, Caterson Drive, Castle Hill). There are 10-12 Board meetings per year, with board papers being provided by the third Thursday of each month.
In addition, Committee meetings (Finance and Risk Management, Venue Management and Nominations) occur every quarter. Meetings are held in person and online. The Company Secretary reports to the chair of the board and will work closely with the HBA CEO.
The Company Secretary role is important to HBA being successful in how it operates. HBA looks forward to discussing this opportunity to identify a candidate that is community focused and willing to be a key player in HBA’s ongoing success.
Key Responsibilities
- Ensure mandatory retention of documents and records
- Responsible for completion and lodgment of statutory forms/returns and reporting under the relevant legislation/regulation including annual accounts and changes in board directors etc.
- Establish a timetable of corporate actions required during the year to the Department of Fair Trading, the ACNC, and other regulations as required
- Prepare agenda and meeting papers for the HBA Board Meetings in conjunction with the Chief Executive Officer
- Take minutes at all HBA Board meetings and distribute in a timely manner
- Complete a Board meeting 'action sheet' and distribute to HBA Directors after each meeting
- Liaise with HBA Directors on a regular basis, responding to emails as required
- Proofread and correct prepared materials for correct grammar, format, and completeness
Location
Candidates must reside close enough to the Hills District of Sydney to be able to attend meetings, venues and events in person.
